respect to a wide variety of legal topics
- Serve as primary interface
with outside counsel
- Assist management in determining
when and how to use outside counsel for maximum benefit and
cost-savings
2. Board and corporate governance matters
- Serve as corporate secretary
for board meetings; draft resolutions and minutes
- Advise on corporate governance
issues
- Preparation of board decks
for directors in advance of board meetings
- Draft or edit update letters
to stockholders/investors
3. Review, draft and negotiate contracts, including:
- Customer agreements
- Vendor agreements
- Licensing and IP agreements
- Strategic alliance agreements
- Acquisition agreements
4. Creation of form agreements for recurring
matters, including:
- Customer agreements
- Non-disclosure agreements
- Indemnification agreements
for directors and officers
- Employee offer letters and
other employee-related documents
5. Fundraising/Securities
- Review and/or drafting of
Private Placement Memorandums or SEC documentation
- Coordinate with outside counsel
with respect to related agreements and documentation such as
Letter of Intent, Placement Agency Agreement, and Shareholders
Agreement
6. Intellectual Property
- Coordinate with outside patent
counsel on strategy and costs
- Coordinate with outside trademark
counsel on portfolio issues
7. HR and Policy Issues
- Create or review Employee
Handbooks and HR policies
- Create or analyze stock option
programs and plans
- Draft and negotiate separation
agreements with terminated employees
- Draft and negotiate employment
contracts with senior management
8. Strategic Planning
- Develop critical path charts,
setting forth assignment of responsibilities and target dates
for all necessary action items
- Provide advice regarding
deal structure with potential strategic partners
9. Project Management
- Manage results by coordinating
activities across multiple functions of the company in accordance
with critical path charts (for example, coordinate preparation
for major projects, including creation of a timeline, action
items and responsibilities chart, working group list, and weekly
update conferences)
